Refunds Policy

Refund rules and procedures for purchases from the Company.

1. Preface

This Refunds Policy describes when the Company may provide refunds for subscriptions, add-ons, and other purchases made directly from the Company in connection with the Platform. It applies to Customers who pay fees to the Company and should be read together with the Terms of Sale. Effective Date: February 21, 2026. Last Updated: February 21, 2026.

2. Definitions and Relationship to Other Documents

Capitalized terms used in this Refunds Policy have the meanings set out in the Terms of Service, including Company, Platform, Customer, Organization, Instructor, Learner, End User, Content, Personal Data, Controller, Processor, and Subprocessor. This Refunds Policy forms part of the Terms of Sale. If there is a conflict, the order of precedence is as described in the Terms of Service: an executed order form prevails over the DPA with respect to commercial terms, the DPA prevails over the Terms of Service with respect to data protection obligations, and the Terms of Service prevail over the Policies.

3. General Refund Principle

Unless required by applicable law or expressly stated in an executed order form, fees paid to the Company are non-refundable and non-creditable, including fees for partially used billing periods. The Company may, in its discretion, provide credits or refunds as a commercial accommodation, but any such accommodation does not create an obligation to provide future credits or refunds in similar circumstances.

4. Subscription Cancellations

Where a Customer cancels a subscription, the subscription will generally remain active until the end of the current billing period, and the Customer will not receive a refund for any unused portion of the billing period, except where required by applicable law or expressly stated by the Company in writing. The timing and mechanics of cancellation are described in the Terms of Sale. Cancellation may be performed through the Platform's account settings or by emailing heretohelp@openmirai.com and takes effect at the end of the current billing period.

5. Free Trials and Promotional Periods

If the Company offers a free trial or promotional period, trial eligibility, conversion to paid plans, and any related refund rights will be described in the applicable offer terms. Customers will be notified before the trial ends and may cancel before conversion to a paid plan without charge. Where a Customer fails to cancel before the end of a trial, the Customer may be charged for the next billing period in accordance with the Terms of Sale.

6. Service Credits and Billing Corrections

If the Company determines that it has billed the Customer in error, the Company may issue a correction, credit, or refund as appropriate. Service credits for downtime or performance issues are not currently offered and may be governed by an executed service level agreement if agreed in writing.

7. Refund Request Process

Refund requests may be submitted by emailing heretohelp@openmirai.com or through the Platform's support features. The Company will respond to refund requests within 14 business days. Required information and further details will be made available through the Platform interface or the Contact and Notices page. The Company may require information sufficient to verify the Customer’s identity and payment details and to evaluate the request. Refund processing times may depend on the payment method and payment service provider.

8. Chargebacks

The Customer should contact the Company before initiating a chargeback. Chargeback disputes are addressed under the Terms of Sale. The Company may suspend access to the Platform for accounts with chargebacks or payment disputes, subject to applicable law.

9. Mandatory Consumer Rights

Nothing in this Refunds Policy limits rights that cannot be excluded under applicable consumer protection laws. Where mandatory refund rights apply based on the Customer’s jurisdiction, those rights will apply notwithstanding this Refunds Policy. The Company will comply with applicable consumer protection laws based on the Customer’s jurisdiction. Where mandatory refund rights apply, those rights will be honored.

10. Updates to this Refunds Policy

The Company may update this Refunds Policy from time to time. The Company will publish the updated version within the legal documentation portal and may provide additional notice of material changes by reasonable means. Unless otherwise stated, changes take effect on the effective date specified in the updated Refunds Policy and apply prospectively, except where required by law.
