End User License Agreement

Licence terms for any software components provided by the Company for use with the Platform.

1. Preface

This End User License Agreement (the "EULA") applies to any software component that the Company makes available for download, installation, or local execution for use with or in support of the Platform, such as desktop applications, mobile applications, command-line tools, or software development kits, if any. The Company may provide web applications, mobile applications, and command-line tools for use with the Platform. The specific components covered by this EULA are described in the Platform documentation. Effective Date: February 21, 2026. Last Updated: February 21, 2026.

2. Definitions and Relationship to Other Documents

Capitalized terms used in this EULA have the meanings set out in the Terms of Service, including Company, Platform, Customer, Organization, Instructor, Learner, End User, Content, Personal Data, Controller, Processor, and Subprocessor. This EULA supplements the Terms of Service. If there is a conflict between this EULA and the Terms of Service regarding the licensed software, the order of precedence is as described in the Terms of Service; unless confirmed otherwise, the Terms of Service governs access to the Platform and this EULA governs licence rights for the software component.

3. Licence Grant

Subject to compliance with this EULA and the Terms of Service, the Company grants the End User a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the software solely for the End User’s internal use in connection with authorized use of the Platform and in accordance with documentation provided by the Company.

4. Restrictions

The End User must not copy, modify, translate, or create derivative works of the software except to the extent permitted by applicable law. The End User must not reverse engineer, decompile, or disassemble the software, except to the extent such restriction is prohibited by applicable law. The End User must not remove or alter proprietary notices, must not use the software to circumvent Platform security, and must not use the software in violation of the Acceptable Use Policy.

5. Ownership and Intellectual Property

The software is licensed, not sold. The Company and its licensors retain all right, title, and interest in and to the software and related intellectual property. No rights are granted except as expressly stated in this EULA.

6. Updates and Changes

The Company may provide updates, patches, or new versions of the software. The Company may require installation of updates as a condition of continued use, including where necessary for security or compatibility. Updates may be delivered automatically or through the Platform's update mechanism. The Company supports the current version and the immediately prior major version of each software component.

7. Third-Party Components

The software may include or depend on third-party components, including open-source software, that are subject to separate licence terms. Third-party notices and applicable licences are provided within the software's settings, help section, or in associated documentation accessible through the Platform. To the extent of any conflict between this EULA and a third-party licence, the third-party licence will govern the third-party component.

8. Support

Support for software components is available via email at heretohelp@openmirai.com during business hours and may depend on the Customer’s subscription plan or an executed order form. The Company may discontinue support for a version of the software upon reasonable notice.

9. Termination

This EULA remains in effect until terminated. The Company may terminate this EULA immediately if the End User materially breaches it. Upon termination, the End User must cease use of the software and, where applicable, delete all copies in its possession or control, except to the extent retention is required by law. Termination of this EULA does not limit any other remedies available under the Terms of Service.

10. Disclaimers

To the maximum extent permitted by applicable law, the software is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the software will be error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the limitations of liability in the Terms of Service apply to this EULA and to any claims arising out of or relating to the software. If the Terms of Service do not apply to the End User, the Company's aggregate liability under this EULA shall not exceed the total fees paid by the End User in the twelve (12) months preceding the event giving rise to the claim, or ten thousand Thai Baht (THB 10,000), whichever is greater.

12. Governing Law

Governing law and jurisdiction for this EULA are as set out in the Terms of Service, with Thailand as the baseline, subject to mandatory laws that apply. Any additional local consumer rights that cannot be excluded remain unaffected.

13. Updates to this EULA

The Company may update this EULA from time to time. The Company will publish the updated version within the legal documentation portal and may provide additional notice by reasonable means. Unless otherwise stated, changes take effect on the effective date specified in the updated EULA. Continued use of the software after the effective date constitutes acceptance to the extent permitted by applicable law; where required, the Company may request explicit acceptance.
